Terms of Service

Avanti is commission automation software built by Andrey Grandinetti. By using Avanti, you agree to these terms. If you don't agree, please don't use the service.

We reserve the right to update these terms occasionally. We'll email you if we make significant changes. Continued use after changes means you accept them.

Avanti provides commission calculation automation software. Specifically:

• CSV upload and data processing
• Automated commission calculations based on your rules
• Approval workflows and audit trails
• Rep dashboards and reporting
• CRM integrations (HubSpot, with more coming)
• Email support and founder-led onboarding

We aim for 99.9% uptime but we're a small team. Sometimes things break. We'll fix them as fast as we can (usually within 24 hours).

You're responsible for:

• Your data: Make sure the data you upload is accurate. We calculate based on what you give us.
• Your account: Keep your password secure. Don't share login details with unauthorized people.
• Your team: You're responsible for your team members' actions. Only invite people who should have access.
• Verification: Always review calculations before approving payments. We're good, but you're the final check.
• Compliance: Make sure using our service complies with your local laws and your employment contracts.

Your data is yours. We never sell it, share it, or use it for anything except providing the service.

We store:

• Commission data (deals, amounts, calculations)
• User information (names, emails, roles)
• Audit trail (who did what, when)

We don't store:

• Credit card information (handled by Stripe)
• Passwords in plain text (encrypted via Clerk)

You can export your data anytime (CSV format). If you cancel, we'll delete your data within 30 days.

Here's the important legal bit:

Avanti automates commission calculations based on the rules you set and the data you provide. We do our best to make calculations accurate, but:

• You must verify: Always review calculations before paying commissions. You're responsible for final approval.
• We're not liable: We're not responsible for overpayments, underpayments, or disputes caused by incorrect rules or data entry.
• Backup your data: Keep your own records. Don't rely solely on Avanti.
• Report issues fast: If you spot an error, tell us immediately. We'll help fix it.

Translation: We build great software, but you're paying people real money. Double-check before you pay. We're here to help if something goes wrong.

Current pricing:

• Free tier: £0/month (5 users, 100 deals/month)
• Starter: £49/month (25 users, unlimited deals)
• Growth: £149/month (100 users, unlimited deals)
• Pro: £349/month (500 users, unlimited deals)
• Enterprise: Custom pricing (500+ users)

Billing:

• Monthly subscriptions, billed automatically via Stripe
• 14-day free trial on all paid plans
• Cancel anytime (prorated refunds within first 30 days)
• Price changes: We'll give 30 days notice
• Failed payments: We'll email you. Fix within 7 days or account pauses

Support hours:

• Monday-Friday: 4pm-9pm GMT
• Saturday: 10am-6pm GMT
• Sunday: 2pm-6pm GMT
• Email: 24-hour response time

We provide direct, responsive support. You get direct access to the team that built the product. No ticket queues, no offshore support. Just quick, helpful responses.

Product updates: We ship features regularly. Most updates are automatic (no action needed from you).

You can cancel anytime:

• Go to Settings → Billing → Cancel Subscription
• Or email us: andrey@avanticommissions.app
• Access continues until end of billing period
• Data is kept for 30 days, then deleted
• Export your data before canceling (CSV available)

We can terminate if:

• You violate these terms
• Your payment fails repeatedly
• You use the service fraudulently or illegally
• You abuse our systems (e.g., excessive API calls)

We'll give you warning first unless it's a serious violation. We're reasonable people.

Things we don't guarantee:

• Perfect uptime: We aim for 99.9% but stuff happens. Scheduled maintenance is rare and announced in advance.
• Instant support: We're responsive but it's not 24/7 instant. Give us a few hours.
• Every feature request: We listen to feedback but can't build everything. We prioritize what helps most customers.
• Backwards compatibility forever: We might deprecate old features with 90 days notice.

You own your data. All the commission data, deals, and information you upload remains yours.

We own the software. Avanti's code, design, and features are our intellectual property. You can't copy, reverse engineer, or resell them.

You can screenshot and share Avanti with your team, blog about it, show it in demos, etc. Just don't steal our code.

Disclaimer of Warranties:

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, AVANTI IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES, REPRESENTATIONS, OR CONDITIONS OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR COURSE OF PERFORMANCE. AVANTI DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE.

Limitation of Liability:

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL AVANTI, ITS AFFILIATES, AGENTS, DIRECTORS, EMPLOYEES, SUPPLIERS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, PUNITIVE, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR EXEMPLARY DAMAGES, INCLUDING WITHOUT LIMITATION DAMAGES FOR LOSS OF PROFITS, GOODWILL, USE, DATA, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATING TO THE USE OF, OR INABILITY TO USE, THE SERVICE. UNDER NO CIRCUMSTANCES WILL AVANTI BE RESPONSIBLE FOR ANY DAMAGE, LOSS, OR INJURY RESULTING FROM HACKING, TAMPERING, OR OTHER UNAUTHORIZED ACCESS OR USE OF THE SERVICE OR YOUR ACCOUNT OR THE INFORMATION CONTAINED THEREIN. IN NO EVENT SHALL AVANTI'S TOTAL LIABILITY TO YOU FOR ALL DAMAGES, LOSSES, OR CAUSES OF ACTION EXCEED THE AMOUNT YOU HAVE PAID TO AVANTI IN THE TWELVE (12) MONTHS PRIOR TO THE ACTION GIVING RISE TO LIABILITY.

Indemnification:

You agree to defend, indemnify, and hold harmless Avanti and its licensee and licensors, and their employees, contractors, agents, officers and directors, from and against any and all claims, damages, obligations, losses, liabilities, costs or debt, and expenses (including but not limited to attorney's fees), resulting from or arising out of: (a) your use and access of the Service, by you or any person using your account and password; (b) a breach of these Terms; (c) your violation of any third party right, including without limitation any copyright, property, or privacy right; or (d) any claim that your use of the Service caused damage to a third party.

Governing Law:

These Terms of Service shall be governed by and construed in accordance with the laws of England and Wales, without regard to its conflict of law provisions. Any disputes arising out of or relating to these Terms or the Service shall be subject to the exclusive jurisdiction of the courts of England and Wales.

Entire Agreement:

These Terms of Service, together with the Privacy Policy and any other legal notices published by Avanti on the Service, shall constitute the entire agreement between you and Avanti concerning the Service.

Severability:

If any provision of these Terms is deemed invalid by a court of competent jurisdiction, the invalidity of such provision shall not affect the validity of the remaining provisions of these Terms, which shall remain in full force and effect.
